RETAILER TERMS OF SERVICE FOR TRADA SERVICES (US)

Thank you for selecting the Services offered by Intuit Inc. and/or its subsidiaries and affiliates, and your interest in becoming a Retailer. Review these Retailer Terms of Service for Trada Services (“Retailer Terms”) thoroughly. These Retailer Terms, together with the Terms of Service for Trada Services ("Terms of Service") and the Trada Privacy Statement and other policies and documents incorporated or referenced herein and therein, govern your use of the Services as a Retailer, including your purchase of goods through the Services. You hereby acknowledge and agree to the terms set forth below. If you do not agree to these Retailer Terms, then you may not use the Services as a Retailer. Capitalized terms used herein but not defined shall have the meanings given to them in the Terms of Service.

1. ACCOUNT REGISTRATION – RETAILER ACCOUNT

Please refer to Sections B.2 and B.3 of the Terms of Service for information on how to sign-up for a Retailer Account. To qualify for a Retailer Account, Retailers must have a suitable (as determined by us) online store or physical store that actively sells the products that will be purchased via the Services. You must also have, and upon request provide proof of, a valid resale certificate (or your state’s or region’s equivalent documentation) for each state in which you will have product delivered. You acknowledge and agree that we may provide a copy of your resale certificate(s) to the selling Brand upon the Brand's request.

2. PAYMENT TERMS

Please refer to Sections A.3 and B.4 of the Terms of Services as well as the Trada Payment Terms payment terms and conditions for the Services.

3. PRODUCT AND CONTENT COMPLIANCE

You acknowledge and agree that we are not required to determine whether the products sold on the Services, or any Content related thereto: (i) abide by the Trada Product Guidelines and/or are not prohibited under the Trada Product Guidelines; (ii) comply with all laws, rules and regulations, including but not limited to, safety, labeling, testing, warning, import/export, and/or other consumer protection law requirements; (iii) do not infringe upon the intellectual property, publicity or other rights of others; and/or (iv) do not contain false, inaccurate or misleading information. You agree to conduct the necessary due diligence for compliance and suitability of Brands and their products, including due diligence on business certifications such as fair trade,women owned, and green business/eco friendly that may be displayed by Brands. You hereby release us from any liability with respect thereto, and agree to indemnify, defend and hold us harmless for any claims related thereto as set forth in Section 9 of the Terms of Service.

4. ORDERS

4.1 Order Minimums. Brands may specify a minimum dollar amount a Retailer must spend before a Brand is willing to sell to a Retailer. This amount is set by each Brand and may vary between Brands.

4.2 Right to Refuse. You acknowledge and agree that Brands and/or we may refuse to complete your purchase for any reason.

4.3 Shipping Address and Drop Shipping. You agree to provide a valid, physical address to receive the product that you order through the Services.

4.4 Prohibition on Fulfillment Using Third Party Websites. You agree to not fulfill orders on third party websites, including but not limited to Amazon, eBay, Facebook, Instagram, Etsy, Poshmark or any other online marketplace for items purchased through Trada.

5. SHIPPING COSTS AND LEAD TIMES

5.1 Shipping Costs. Shipping costs will be included as a separate charge in addition to the purchase price of products.

5.2 Lead Times. You acknowledge that lead times and actual delivery dates will vary depending on how long it takes for a Brand to ship a product.

6. RETURNS, REFUNDS, CANCELLATIONS

6.1 Returns. You acknowledge and agree to our return policies as outlined in our Returns, Refunds and Cancellation Policy.

6.2 Refunds and cancellations. If you receive a product that is damaged, the shipment includes missing items or you do not receive the product by the expected ship date, you must report the issue within 14 days of receiving the product as outlined in our Returns, Refunds and Cancellation Policy. You agree that if you do not timely report the issue, the product shall be deemed delivered and satisfactory. We reserve the right to accept or reject any missing or damaged report filed by a Retailer in its sole reasonable discretion, including in the event we suspect any fraudulent activity. Our decision whether to accept a damaged or missing claim shall be final. Any damaged products, missing items, or late shipments are the responsibility of the Brand. While the Services can be used to process the request for a refund, return or cancellation, you agree that the Brand, and not us, is not responsible for such refund, return or cancellation.

7. DISCLAIMER

INTUIT AND ITS AFFILIATES ARE NOT RESPONSIBLE FOR, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTUIT AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, RELATED TO, (I) THE QUALITY OF ANY PRODUCTS OR SERVICES SOLD BY ANY BRAND ON THE SERVICES, (II) PRODUCT INVENTORY OR AVAILABILITY, (III) SHIPMENT OR DELIVERY, (IV) WARRANTY SERVICES, (V) PRODUCT SUPPORT, OR (VI) ANY OTHER ASPECT OF THE PRODUCTS OR SERVICES SOLD BY ANY BRAND ON THE SERVICES, EXCEPT AS EXPRESSLY SET FORTH IN THESE RETAILER TERMS OR THE TERMS OF SERVICE.
